1. Acceptance of Terms and Eligibility

1.1 Agreement to Terms

By accessing or using the Stone Buy and Sell website located at stonebuyandsell.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use our Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Stone Buy and Sell ("Company," "we," "us," or "our").

1.2 Eligibility Requirements

To use our Platform, you must:

• Be at least 18 years of age
• Be a business professional or representative of a business entity
• Have the authority to bind your company or organization to these Terms
• Not be prohibited from using our services under applicable laws
• Provide accurate and complete registration information

Our Platform is designed exclusively for business-to-business (B2B) transactions within the stone industry. It is not intended for consumer purchases.

1.3 Authority to Bind

If you are using our Platform on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" refer to both you individually and the entity you represent.

2. Service Description

2.1 Platform Services

Stone Buy and Sell provides the following services:

• Company Directory: A searchable database of stone industry businesses including quarries, manufacturers, suppliers, fabricators, and service providers
• Product Listings: A catalog where businesses can showcase their stone products, materials, and equipment
• Trade Leads: A system for posting and responding to buying and selling opportunities
• Inquiry System: A communication platform for users to connect and discuss potential business opportunities
• Quarry Database: Information about stone quarries worldwide
• Trade Show Information: Listings of industry events and exhibitions

2.2 What We Do NOT Do

To be clear about our role, Stone Buy and Sell does NOT:

• Sell, purchase, or take possession of any stone products or materials
• Process payments or financial transactions between buyers and sellers
• Guarantee the quality, safety, legality, or availability of listed products
• Verify the accuracy of user-provided information (except basic verification efforts)
• Mediate or arbitrate disputes between users
• Provide warranties on products or services listed by users
• Act as an agent or representative for any user

3. User Accounts

3.1 Registration

To access certain features of our Platform, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information
• Create only one account per business entity
• Not use misleading or fraudulent information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that you log out from your account at the end of each session

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Types

We may offer different account types with varying features and capabilities. Premium or paid accounts may have additional terms that supplement these Terms.

3.4 Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Providing false or misleading information
• Conduct that harms other users or our Platform
• Extended periods of inactivity
• Non-payment of fees (for paid accounts)

4. Marketplace Rules and Conduct

4.1 Prohibited Activities

You agree NOT to engage in any of the following prohibited activities:

Fraudulent Conduct:

• Misrepresenting your identity, business, or affiliation
• Posting false or misleading product information
• Using fake reviews or testimonials
• Engaging in price manipulation or market deception

Illegal Activities:

• Listing prohibited, stolen, or illegally obtained materials
• Violating export/import regulations or sanctions
• Money laundering or facilitating illegal transactions
• Infringing intellectual property rights

Harmful Behavior:

• Harassment, abuse, or threatening behavior toward other users
• Spamming or sending unsolicited commercial messages
• Attempting to circumvent Platform security measures
• Interfering with Platform operations or other users' access
• Scraping, data mining, or automated access without permission

4.2 Listing Requirements

When creating product listings or company profiles, you must:

• Provide accurate and truthful descriptions
• Use only images you have the right to use
• Keep pricing and availability information current
• Comply with all applicable laws and industry standards
• Not list products that infringe on third-party rights
• Clearly disclose material specifications and any defects

4.3 Trade Lead Rules

When posting buying or selling trade leads:

• Provide genuine and specific requirements
• Respond to legitimate inquiries in a timely manner
• Do not post duplicate or repetitive trade leads
• Update or remove trade leads when requirements change

4.4 Communication Conduct

When communicating with other users:

• Maintain professional and respectful communication
• Do not send spam, advertisements, or irrelevant messages
• Respect other users' privacy and confidential information
• Do not attempt to circumvent Platform communication systems to avoid fees

5. User Content and Intellectual Property

5.1 Your Content

"User Content" includes all information, text, images, data, and materials you post, upload, or submit to the Platform, including company profiles, product listings, trade leads, and messages.

You retain ownership of your User Content. However, by posting User Content, you grant Stone Buy and Sell a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and promoting the Platform.

5.2 Content Warranties

By posting User Content, you represent and warrant that:

• You own or have the necessary rights to post the content
• The content does not infringe any third-party intellectual property rights
• The content is accurate and not misleading
• The content does not violate any applicable laws or regulations
• The content does not contain viruses or harmful code

5.3 Content Moderation

We reserve the right, but are not obligated, to:

• Review, monitor, or moderate User Content
• Remove or modify any content that violates these Terms
• Refuse to publish content at our sole discretion
• Take appropriate action against users who violate these Terms

5.4 Copyright and DMCA Policy

We respect intellectual property rights and expect our users to do the same. If you believe your copyrighted work has been infringed on our Platform, please send a notice to [email protected] containing:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on our Platform
• Your contact information
• A statement of good faith belief that the use is not authorized
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

5.5 Stone Buy and Sell Intellectual Property

All content, features, and functionality of the Platform (excluding User Content), including but not limited to text, graphics, logos, icons, images, software, and compilation thereof, are the exclusive property of Stone Buy and Sell and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of our intellectual property without our express written permission.

6. Platform as Facilitator

6.1 Our Role

Stone Buy and Sell acts solely as an intermediary platform that enables stone industry businesses to find and connect with each other. We are not involved in actual transactions between users and have no control over:

• The quality, safety, legality, or availability of products listed
• The accuracy of listings or user information
• The ability of sellers to deliver products
• The ability of buyers to pay for products
• The terms agreed upon between buyers and sellers

6.2 User Responsibility

Users are solely responsible for:

• Conducting due diligence on potential trading partners
• Verifying the identity and legitimacy of other users
• Negotiating and documenting transaction terms
• Ensuring compliance with applicable laws and regulations
• Arranging payment, shipping, and delivery
• Resolving any disputes that arise from transactions

6.3 No Guarantees

We do not guarantee:

• That users will successfully complete transactions
• The quality or authenticity of any products
• That users will act in good faith
• The accuracy of any user-provided information
• That the Platform will meet your specific business needs

7. Fees and Payment

7.1 Platform Fees

Some features of our Platform may be offered on a paid subscription basis. Current pricing and features are available on our website.

• Free Features: Basic company listing, limited product listings, and inquiry access
• Premium Features: Enhanced visibility, unlimited listings, analytics, and priority support

7.2 Payment Terms

For paid subscriptions:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated
• We may change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of premium features

7.3 User-to-User Transactions

Stone Buy and Sell does not process payments between buyers and sellers. All financial transactions occur directly between users outside of our Platform. We are not responsible for:

• Payment processing between users
• Payment disputes or chargebacks
• Currency conversion or international transfer fees
• Any financial losses resulting from user transactions

8. Disclaimers and Limitations of Liability

8.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.2 No Warranty

We do not warrant that:

• The Platform will be uninterrupted, timely, secure, or error-free
• Results obtained from the Platform will be accurate or reliable
• Any errors in the Platform will be corrected
• The Platform will meet your specific requirements

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STONEBUYANDSELL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or goodwill
• Damages arising from user transactions or disputes
• Damages resulting from unauthorized access to your account
• Any damages exceeding the amount paid by you to us in the twelve (12) months preceding the claim

8.4 Third-Party Content

We are not responsible for any content, products, or services offered by third parties through links on our Platform or by other users.

9. Indemnification

You agree to indemnify, defend, and hold harmless Stone Buy and Sell and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Platform
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your transactions with other users
• Any claims by third parties related to your business activities

10. Dispute Resolution Between Users

10.1 User Responsibility

Users are solely responsible for resolving disputes arising from transactions conducted through connections made on our Platform. We strongly recommend that users:

• Document all agreements in writing
• Use secure payment methods with buyer/seller protection
• Verify products before finalizing payment
• Establish clear terms for delivery, returns, and refunds

10.2 Platform's Limited Role

Stone Buy and Sell's role in user disputes is limited to:

• Providing communication tools for users to resolve issues
• Investigating reports of Terms violations
• Taking appropriate action against users who violate our Terms

We are not obligated to mediate or resolve disputes between users and have no liability for the outcome of any user transactions or disputes.

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in your settings
• Contacting us at [email protected]

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, for any reason, including if you breach these Terms.

11.3 Effects of Termination

Upon termination:

• Your right to access and use the Platform will immediately cease
• Your profile and listings will be removed from public view
• You remain liable for any obligations incurred before termination
• We may retain certain information as required by law or for legitimate business purposes
• Provisions that by their nature should survive termination will remain in effect

12. Governing Law and Jurisdiction

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in Brown County, Wisconsin, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

12.3 Class Action Waiver

YOU AND STONEBUYANDSELL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Effective Date" at the top of these Terms
• We will notify registered users via email at least 30 days before changes take effect
• We may display a prominent notice on our Platform

Your continued use of the Platform after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your account.

13.5 WhatsApp Business Messaging

Stone Buy and Sell offers WhatsApp Business messaging features to facilitate inventory management and buyer-seller communications. By using our WhatsApp features, you agree to the following terms:

Consent to Receive Messages

By providing your phone number and initiating contact with us via WhatsApp, or by opting in to WhatsApp notifications, you consent to receive messages from Stone Buy and Sell including:

• Responses to your inventory submissions
• Notifications about inquiries on your listings
• Buyer-seller communication facilitation
• Saved search alerts (if enabled)
• Service updates and announcements

Acceptable Use

When using our WhatsApp features, you agree to:

• Provide accurate information about your inventory and business
• Not send spam, fraudulent, or misleading content
• Not use the service for illegal purposes
• Comply with WhatsApp's Terms of Service
• Not impersonate others or misrepresent your identity

Message Content Ownership

You retain ownership of content you submit via WhatsApp (photos, descriptions, etc.). By sending content, you grant Stone Buy and Sell a license to use, display, and publish this content on our platform as inventory listings.

Opting Out

You may opt out of WhatsApp messages at any time by:

• Sending "STOP" to our WhatsApp number
• Updating your preferences in your dashboard
• Contacting us at [email protected]

Note: Opting out of WhatsApp messages does not delete your account or existing listings.

Third-Party Service

WhatsApp is a service provided by Meta Platforms, Inc. Your use of WhatsApp is also subject to WhatsApp's Terms of Service. Stone Buy and Sell is not responsible for WhatsApp's availability, functionality, or policies.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Stone Buy and Sell regarding your use of the Platform.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.6 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
